独立董事是公司引入的外部治理机制,其根本目的是实现有效的监督,但目前关于我国独立董事治理作用的经验证据并不稳定甚至相互矛盾。本文引入新的独立董事特征,利用独立董事的社会网络分析其与企业绩效之间的关系,并以2006~2008年我国上市公司为研究样本,实证检验了独立董事的社会关系对企业绩效的影响,研究发现,政治关系和银行关系是一种强的社会关系,对企业绩效产生显著的影响作用,而企业关系表现出弱社会关系,对企业绩效的作用不明显。
Independent directors are external governance mechanisms introduced by the company. Their fundamental purpose is to achieve effective supervision. However, the current empirical evidence on the role of independent directors in China is unstable and even contradictory. This paper introduces the characteristics of new independent directors, uses the social network of independent directors to analyze their relationship with corporate performance, and uses the listed companies in China from 2006 to 2008 as a sample to empirically test the impact of independent directors’ social relationships on corporate performance. The study found that political relations and banking relations are a strong social relationship that has a significant impact on corporate performance, while corporate relationships show weak social relationships and have little effect on corporate performance.
