《联合国国际货物销售合同公约》设定了一项通知规则,要求买方通知货物不相符。这一规则被认为过于严格,因此有《公约》第44条作为其例外。通知规则例外的创设主要是因应发展中国家的利益诉求,但裁判机构对例外规则的解释非常严格,例外规则的适用仅限于少数的客观情形。裁判机构对第44条的解释在很大程度上偏离了当初的立法意图。这种解释的倾向给《公约》的统一解释带来了一定的挑战。对于当事人来说,应当面对裁判的现实,积极去履行通知义务,而不是依赖于通知规则的例外。
The United Nations Convention on Contracts for the International Sale of Goods sets a notification rule requiring the buyer to inform that the goods do not match. This rule is considered too strict and therefore article 44 of the Convention is used as an exception. The exception to the notification rule was mainly created in response to the interest demands of developing countries. However, the interpretation by judicial authorities of the exception rules is very strict. The application of the exception rules is limited to a small number of objective cases. The interpretations of Article 44 by the judiciary largely deviated from the original legislative intent. This tendency to explain posed certain challenges to the uniform interpretation of the Convention. For the parties, they should face the reality of the judgments and actively fulfill their obligation of notification instead of relying on the exception of the notice rules.
