一、基本背景随着数字经济(digital economy)在全球的发展,在移动互联、云计算、大数据、物联网等技术的推动下,市场上越来越多的产品(服务)具有数据驱动的特点。由于数据(特别是用户个人数据)在商业中的地位日益重要,很多并购交易涉及数据整合,甚至一些并购交易启动的目的就是数据整合。可以预期,数字经济环境下,数据驱动型并购会成为全球并购的新趋势。2016年发生的微软(Microsoft)收购领英(Linked In),便是引起全球高度关注的数据驱动型并购交易。本文以欧盟对该交易的反垄断审查为基础,探讨数据驱动型并购的反垄断审查问题。(1)
First, the basic background With the digital economy (digital economy) in the global development, driven by technologies such as mobile Internet, cloud computing, big data, Internet of things, more and more products (services) on the market with data-driven features . Due to the growing importance of data (especially user personal data) in commerce, many mergers and acquisitions involve data integration, and even some mergers and acquisitions are initiated for data consolidation. It can be expected that in the digital economy, data-driven M & A will become a new trend of global M & A. The acquisition of Linked In by Microsoft in 2016 was the data-driven M & A deal that has drawn the world’s attention. Based on the EU antitrust review of the transaction, this article discusses the antitrust review of data-driven M & A. (1)
