一人公司的出现是顺应市场经济发展规律的必然产物,然而一人公司投资主体的一元性特征决定其在对公司债权人保护和公司法律人格的健全以及公司资本的维持方面有着先天的脆弱性。因此,针对这种脆弱性的克服在很大程度上需要依赖于完善的内外部治理结构。本文针对一人公司存在的种种先天缺陷,结合现有公司法律规范的成功实践经验,坚持“所有与经营分离”的原则,尝试从现有的制度基础出发分析完善一人公司内外部治理结构的有效方式。
