英国的企业兼并、收购比较频繁,仅次于美国, 居世界第二位。1970—1990年间,英国共发 生31108起收购事件,被收购的企业占英国企业总数的1.3%,收购总金额达1171亿英镑;平均每年发生1555起,平均每起金额376万英镑。在这3万多起收购中,收购金额在100—1000万英镑的占40%,100万英镑以下的也占40%,即80%是收购股票不上市的中小型有限责任公司。频繁的收购使英国积累了丰富的经验,总结出了一套比较完备的收购程序和规则。下面,分三个方面作一简述。
The mergers and acquisitions of companies in the United Kingdom are relatively frequent, second only to the United States, ranking second in the world. Between 1970 and 1990, a total of 31,108 acquisitions took place in the UK. The companies that were acquired accounted for 1.3% of the total number of UK companies. The total purchase amounted to 117.1 billion pounds; the average number was 1555 cases per year and the average amount was 3.76 million pounds each. Of the more than 30,000 acquisitions, 40% of acquisitions were between £1 million and £10 million, and 40% were below £1 million. That is to say, 80% were small and medium-sized limited liability companies whose stocks were not listed. Frequent acquisitions have allowed Britain to accumulate rich experience and concluded a relatively complete set of acquisition procedures and rules. Below, a brief description will be made in three aspects.
