韩国于1962年制订的旧《证券交易法》上明确规定了禁止操纵市场行为,随后经历了数次修订。2007年制定的《资本市场法》统合了旧《证券交易法》与旧《期货交易法》上关于操纵市场行为的禁止性规定,进一步强化了对操纵市场行为的法律规制。现行的《资本市场法》不仅具体规定了操纵市场行为的类型及损害赔偿责任,而且也规定了相应的处罚措施。相比于我国《证券法》上关于操纵市场行为的规定,韩国的立法与经验值得借鉴。
South Korea established the old Securities Exchange Act of 1962, which clearly prohibited the manipulation of markets and subsequently underwent several amendments. The Capital Market Law, enacted in 2007, combines the prohibitions on market manipulation in the old Securities Exchange Law and the Old Futures Trading Law, further reinforcing the legal regulation of market manipulation. The current “Capital Market Law” not only specifies the type of market manipulation and liability for damages, but also stipulates corresponding penalties. Compared with China’s “Securities Law” on the manipulation of market regulations, South Korea’s legislation and experience worth learning.
