On April 3, 2012, the Financial Stability Oversight Council (FSOC) unanimously adopted the “Final Rule” and related guidance (“Final Guidance”) on how to designate non-bank financial institutions that are systemically important. The “Final Rule” and the “Final Guidelines” regulate the specific procedures in the FSOC’s exercise of statutory powers and the specific application of statutory standards. It is a significant step forward when the FSOC begins to make its designation.
