我国《合同法》对承租人自行转租的行为采取了类似于德国和日本的限制主义立法模式,但又有自己的特点,并不完全否认自行转租行为的效力。在我国,无权处分理论与自行转租是存在契合之处的,自行转租符合广义上的无权处分的范畴,可以适用无权处分理论来分析自行转租行为,在动产自行转租和不动产租赁备案的情况下,可以适用善意取得制度保护善意次承租人的利益。
The “Contract Law” of our country adopts the restrictive legislation model similar to that of Germany and Japan to the lessee’s own sublet. However, it has its own characteristics and does not completely deny the validity of the sublet. In our country, there is a coincidence between the theory of powerless sanction and sublease of sublease. Self-subletting suits the category of powerless sanction in a broad sense. It can be applied to the theory of powerless sanction to analyze subletive sublets, In the case of real estate lease filing, the goodwill acquisition system can be applied to protect the interests of lessee in good faith.
