以创意的核心属性为基础,从董事会治理的监督控制职能与资源供给治理为视角,构建了董事会治理特征对文化创意公司经营绩效影响的理论逻辑,并以中国文化创意型上市公司为研究样本进行了实证检验。结果表明:董事会会议反映了董事会的监督控制职能,抑制了公司的创意能力,损害了文化创意公司的经营绩效;董事长与总经理两职合一的领导权结构弱化了董事会的监督控制能力,独立董事比例的提升为公司提供了社会资本,从而促进了公司的创意能力,提升了文化创意公司的经营绩效。
Based on the core attributes of creativity, from the perspective of the supervisory control function and resource supply governance of the board of directors, this paper constructs the theoretical logic of the influence of the governance characteristics of the board of directors on the operating performance of the cultural and creative companies and takes the Chinese cultural and creative listed companies as the research sample Empirical test. The results show that the board meeting reflects the supervisory control function of the board of directors, restrains the creative ability of the company and undermines the operating performance of the cultural creative company. The leadership structure of the combination of the two roles of chairman and general manager weakens the ability of the board of directors to supervise and control, The increase in the proportion of independent directors provides social capital to the company, thus promoting the creative ability of the company and enhancing the operating performance of the cultural creative company.
