现代企业作为人力资本与物力资本的契约体,其直接目标是实现契约参与者利益的最大化,即实现物力资本、人力资本保值和增值。企业合约是以实现企业利益最大化进而实现全体缔约方利益最大化为约束条件,并且根据缔约方的价值、风险不断调整的一个不完全动态合约。由于人力资本价值不断变化、缔约者流动以及企业人力资本产权的残缺,企业存在不稳定性且形式多样。
As a contractual body between human capital and material capital, modern enterprises have the direct goal of maximizing the interests of contractual participants, namely, the realization of material and human capital preservation and appreciation. An enterprise contract is an incomplete dynamic contract that is bound by the maximization of the interests of the enterprise and then the interests of all the parties and is adjusted according to the value of the party and the risk. Due to the changing value of human capital, the flow of contracting parties and the incompleteness of property rights of human capital in enterprises, the enterprises have instability and various forms.
