独立性是独立董事的根本属性,是最基本、最核心的品格,当然也是独立董事法律制度最重要的特征,独立性构成了独立董事制度的价值前提和基础。独立董事无法离开其独立性的品格特征而履行其职责、实现其制度价值和制度功能,这是由独立董事的监督职能定位及其价值定位所决定的。
Independence is the fundamental attribute of independent directors, is the most basic and core character, and of course is the most important feature of the legal system of independent directors. Independence constitutes the value premise and foundation of the system of independent directors. Independent directors can not leave their character of independence and perform their duties to realize their institutional value and institutional functions, which are determined by the independent directors’ supervisory function and their value orientation.
