本文讨论了有限合伙制私募股权投资基金的治理机制,并以一个具体案例讨论了中国私募股权投资基金的治理问题、激励约束机制的设立等问题,最后据此提出了中国私募股权投资基金成功运作和快速发展的对策建议。本文认为:当前中国私募股权投资基金存在的问题主要表现在对有限合伙制认识不清,特别是对有限合伙人和普通合伙人各自的角色定位缺乏深入了解,治理机制不到位以及缺乏完善的管理人市场等。因此提出了“加强学习、提高认识、完善机制、适当监管”的对策建议。 This article discusses the governance mechanism of limited partnership private equity funds and discusses the governance of private equity funds in China and the establishment of incentive and restraint mechanisms in a specific case.
