股权代持作为一种广泛存在的现象,其不仅对公司治理的稳定性产生影响,同时也不可避免地产生许多法律风险。《公司法司法解释(三)》的出台一定程度上认可了有限责任公司中股权代持的效力,使其不再处于法律的灰色地带当中,这很好地解决了实务中的股东资格认定问题和关于代持股权的善意取得问题。但同时,由于法律规定的空白,股权代持在中国证券市场,主要体现在上市公司中,其效力仍存在较大的不确定性,资本市场大量存在的股权代持现象亟须法律的规范与约束。结合最新的裁判实践,笔者也系统地总结了当前处理股权代持纠纷的一些经验。

Combined with the latest referee practice, the author also systematically summarizes some of the current experience of dealing with disputes over the ownership of shares.
