企业并购是企业扩大规模、增强竞争实力的重要手段,企业并购会对企业和国民经济产生一系列影响和后果。当今世界经济风起云涌,企业并购活动失败率很高,其中很重要的一个因素是并购前企业的管理者对目标企业的企业文化没有作深入的了解和研究,没有考虑并购后企业文化的整合问题。本文从企业并购和企业文化的涵义开始分析,评述了企业并购的动机,介绍了我国企业文化的特征及建设的发展历程。
Mergers and acquisitions are important means for enterprises to expand their scale and enhance their competitive strength. Mergers and acquisitions of enterprises will have a series of impacts and consequences on enterprises and the national economy. In today’s surging world economy, the failure rate of corporate M&A activity is very high. One of the important factors is that the managers of pre-merger firms do not have in-depth understanding and research of the target company’s corporate culture, and do not consider the integration of corporate culture after M&A. This article begins with the analysis of the meaning of corporate mergers and acquisitions and corporate culture, reviews the motives of corporate mergers and acquisitions, introduces the characteristics of Chinese corporate culture and the development history of construction.
