考虑到中国企业跨国并购面临的特殊性和困难性,本文基于企业文化整合的视角,构建了以并购双方愿意吸纳对方文化的程度为X、Y轴,以并购文化整合阶段为Z轴的企业文化整合模式的多阶段立体选择模型,并运用该理论模型来具体分析联想并购IBM的PC业务的文化整合。本文认为,中国企业跨国并购文化整合模式的选择必须以认识、尊重双方企业文化差异为前提,采取动态渐进的选择模式——就一般情况而言,可沿着引进学习(引进学习目标企业优势文化成分)→融合(相互吸收,融合各自优势文化成分)→创新(形成一种新的共同的企业文化体系)的路径来分阶段渐进实施。
Considering the particularity and difficulty faced by Chinese companies in cross-border mergers and acquisitions, this paper builds on the perspective of corporate culture integration and builds a corporate culture in which mergers and acquisitions are willing to absorb each other’s culture on the X and Y axes, and merger and acquisition culture is integrated on the Z axis.
