近几年,我国出现的全民式的有限合伙私募股权基金热,对我国多层次资本市场的迅速发展起了巨大的推动作用,同时也给我国的社会与经济发展带来一些负面影响。原因是多方面的,但监管模式尚未定位、市场准入规则不明、普通合伙人和有限合伙人关系模糊等问题是主因。本文试图借鉴国外一些经验,对产生前述问题的原因进行分析,并提出有关解决这些问题的方法和建议,旨在抛砖引玉,引起更深入的探究。
In recent years, the emergence of the all-people-type limited partnership private equity fund has played a huge role in promoting the rapid development of China’s multi-level capital market. It has also brought some negative impacts on China’s social and economic development. There are many reasons for this. However, the regulatory model has not been set yet. The rules for market access are not clear and the relationship between general partners and limited partners is vague. This article attempts to draw lessons from some foreign experience, to analyze the causes of the aforementioned problems and to put forward methods and suggestions to solve these problems, aiming to start a thorough discussion.
