Based on the needs of its own business expansion, more and more Chinese enterprises, both state-owned enterprises and private-owned enterprises, are now actively carrying out cross-border M & A projects. According to the latest data provided by PricewaterhouseCoopers, the overseas M & A market of Chinese enterprises in the first three quarters of 2014 maintained a dynamic momentum with a total of 176 transactions, an increase of 31% over the same period of last year, setting a record high. As one of the top international law firms in the world, Leader has helped many Chinese companies to successfully complete their acquisitions in more than 60 countries around the world. Combined with the actual combat experience in many projects of our own, this article introduces some experiences and cautions that Chinese enterprises can learn from the negotiation of overseas M & A projects
