我国新《公司法》确立了一人公司的法律地位,一人公司作为一种新型的公司形态,一方面反映了社会经济发展的客观需要,另一方面是对传统公司理念的极大挑战。本文探索一人公司的理论根源,深入分析一人公司的法律本质及价值取向,借鉴国外立法规制的先进经验,认为该制度在我国当前国情下运行,应进一步加强对一人公司的立法规制,不断完善我国公司法律制度。
China’s new “Company Law” establishes the legal status of a one-person company. As a new corporate form, a one-person company reflects the objective needs of social and economic development on the one hand, and the great challenge to the traditional corporate philosophy on the other. This paper explores the theoretical origins of one-man companies, deeply analyzes the legal nature and value orientation of one-man companies, draws on the advanced experience of foreign legislation and regulation, and considers that the system operates under current conditions in our country. We should further strengthen the legislation on one-man companies and constantly improve our country Company legal system.
