竞争对手之间的横向合并产生了单边效应,如果合并使得合并后的企业提价减产或表现出的竞争性减弱,而其他非合并企业不改变其竞争策略。单边效应是一种反竞争效应,应当予以反对。但如何在合并审查时成功地预测单边效应一直是困扰反垄断执法者的一个难题。本文首先介绍了横向合并导致单边效应的基本原理;而后讨论了评价单边效应发生的可能性和强度的方法或模型,并对这些方法或模型进行了分类;最后就运用这些方法或模型存在的问题进行了讨论。
Horizontal mergers between competitors have a unilateral effect, and if the merger results in a reduction in the price of the merged company or a diminished competitiveness, other non-merger companies do not change their competitive strategies. Unilateral effect is an anti-competitive effect and should be opposed. But how to successfully predict unilateral effects in the merger review has been a problem that has plagued antitrust enforcement. This paper first introduces the basic principle of lateral merging leading to unilateral effects; then discusses methods or models for evaluating the possibility and intensity of unilateral effects, and classifies these methods or models. Finally, the use of these methods or models exists. The issue was discussed.
