现代社会飞速发展,公司纠纷的多样性与民事诉讼法规定的公司纠纷解决机制的单一化的矛盾日益凸显。2005年公司法的修订,在增强可诉性规定的同时,也激化了公司法与民事诉讼法、司法介入与公司治理的矛盾。盛行于大陆法系国家的非讼程序在我国被越来越多的人们理解和接受,外国公司非讼程序具有程序的可操作性和经验的可复制性,因此,我国可以借鉴大陆法系国家公司非讼程序,用以解决公司纠纷解决机制存在的矛盾与问题。
The rapid development of modern society, the diversity of corporate disputes and the Civil Procedure Law, the dispute resolution mechanism of the single contradiction has become increasingly prominent. The revision of the Company Law in 2005 also intensified the contradiction between the Company Law and the Civil Procedure Law, the judicial intervention and the corporate governance while enhancing the requirements of litigability. The non-litigation procedure prevailing in the civil law countries is more and more understood and accepted by our country. The non-proceeding procedure of the foreign companies has the procedure operability and the replicability of the experience. Therefore, our country can learn from the civil law countries Company non-litigation procedures, to resolve the company’s dispute resolution mechanism of the contradictions and problems.
