公司管理层的信义义务是公司法的一个重要原则,公司法在赋予公司管理层权力的同时,更应当通过完善的义务和责任体系来督促公司管理层积极履行职责,增进公司和股东利益。从实践角度看,对公司管理层违反信义义务提起赔偿诉讼则成为督促管理层积极履行信义义务的重要手段,因此笔者认为有必要分析清楚赔偿责任的构成要件。
The fiduciary obligation of the company’s management is an important principle of the company law. While giving the company’s management power, the company law should urge the company’s management to actively perform its duties and enhance the interests of the company and its shareholders through a sound system of duties and responsibilities. From a practical point of view, it is an important means to urge management to actively fulfill the fiduciary duty by filing a compensation lawsuit against the company’s management in violation of the fiduciary obligation. Therefore, I think it is necessary to analyze clearly the components of the liability.
