一、依法取得法人资格的全民所有制企业,应如何承担法律责任问:《中华人民共和国全民所有制工业企业法》第二条规定:“全民所有制工业企业是依法自主经营、自负盈亏、独立核算的社会主义商品生产和经营单位。财产属于全民所有,国家依照所有权和经营权分离的原则授予企业经营管理。企业对国家授予其经营管理的财产享有占有、使用和依法处分的权利。企业依法取得法人资格,以国家授予其经营管理的财产承担民事责任。”《中华人民共和国民法通则》第四十八条规定:“全民所有制企业法人以国家授予它经营管理的财产承担民事责任。”根据上述规定,全民所有制企业的民事责任应以国家授予其经营管理的财产为限。但在实践中,有些企业债权人、行政执法机关和司法机关对“国家授予它经营管理的财产”的认识上有偏差,往往对领取企业法人执照的全民所有制企业的子企业在注册资本到位、其经营管理的财产不足以承担债权人的债权时,要求其出资企业承担民事责
