目前 ,我国上市公司独立董事制度建设无论在立法上还是实践上都刚刚起步 ,对独立董事的界定、制度建设及建设过程中须解决的问题等都应予以充分关注。为加强和完善该项制度建设 ,除加快有关独立董事制度的立法工作 ,明确独立董事的职能范围及相应的法律责任 ,制定具体规则外 ,还应建立有效的独立董事自律组织 ,同时完善相关的外部监督机制 ,从而实现公司治理结构的合理化。
At present, the independent director system of listed companies in our country has just started in terms of legislation and practice, and should pay full attention to the definition of independent directors, the system construction and the problems to be solved in the process of construction. In order to strengthen and perfect the system construction, in addition to speeding up the legislative work on the system of independent directors, clarifying the scope of functions and corresponding legal responsibilities of independent directors and formulating specific rules, effective self-regulatory organizations for independent directors should also be established while improving relevant External supervision mechanism, so as to rationalize the corporate governance structure.
