市场经济体制下,股权结构不应是国有企业改革的关键。国有企业改革的关键问题有两个,一是赋予企业独立的市场主体地位,平等参与市场竞争;二是在所有者缺(虚)位情况下,提高委托———代理制度的有效性。国有资本是进是退,由资本经营者根据市场情况决定。解决出资人及其监管到位的问题,必须将委托经营权和经营监管权分离,形成权力制衡的体系。作者设计了多方权力制衡、激励到位的国企管理制度。
Under the market economy system, the ownership structure should not be the key to the reform of state-owned enterprises. There are two key problems in the reform of state-owned enterprises. One is to give the independent status of the market players and participate in the market competition equally. The other is to improve the effectiveness of the agency-entrusting system in the absence of owners. State-owned capital is to go back and forth, according to the capital market operators decide. To solve the problems of investors and their supervision, the system of power balance must be separated from the power of management and administration. The author designed a multi-party power checks and balances, incentives in place of state-owned enterprise management system.
