2010年和2011年中国的工程机械行业发生了多起对海外企业的收购,目标是发达国家的同行业企业。中国企业希望通过并购这些拥有先进技术和高效管理的海外企业,达到获取国外先进技术、规避贸易壁垒等种种目的。中国企业2000年以后才开始探索海外并购,在并购目标的选择、并购过程的实施以及并购后的整合方面缺乏经验。本文分析了中联重科并购CIFA的动因和并购后的绩效,为企业海外并购从发展战略角度出发寻找合适的并购目标、实现协同效应提供参考。
In 2010 and 2011, China’s construction machinery industry occurred more than the acquisition of overseas companies, the target is the same industry enterprises in developed countries. Chinese enterprises hope that through the acquisition of these advanced technologies and efficient management of overseas enterprises, access to advanced foreign technologies to avoid trade barriers and other purposes. Chinese enterprises began to explore overseas mergers and acquisitions after 2000, lacking experience in the target of mergers and acquisitions, the implementation of mergers and acquisitions and the integration after mergers and acquisitions. This article analyzes the motivation of Zoomlion’s acquisition of CIFA and the performance after M & A, providing a reference for finding the appropriate M & A target and realizing the synergy for the overseas M & A of the enterprise from the perspective of the development strategy.
