文章以2011—2014年间我国创业板上市公司年报中公司治理与公司绩效的相关数据为研究样本,分析我国创业板上市公司公司治理与公司绩效的相关关系。结果表明,第一大股东持股比例与公司绩效成反比;独立董事比例与公司绩效成正比;董事会规模与公司绩效呈负相关,说明董事会规模不宜过大;高管人员薪酬激励的效果与公司绩效成正比。
Based on the sample data of corporate governance and corporate performance in the annual reports of GEM of listed companies in China during 2011-2014, the article analyzes the relationship between corporate governance and corporate performance of listed companies in China. The results show that the shareholding ratio of the largest shareholder is inversely proportional to the company’s performance; the proportion of independent directors is directly proportional to the company’s performance; the size of the board of directors is negatively correlated with the company’s performance, indicating that the size of the board of directors should not be too large; Performance is proportional.
