近日,商务部颁布《外商投资商业领域管理办法》(以下简称《办法》),进一步放开对外商投资商业企业的管理。该《办法》是对1999年《外商投资商业企业试点办法》的全面修订,将于2004年6月1日起施行。 根据该《办法》,商业利用外资工作由试点转为正常开放,明确中外投资者在符合《办法》的情况下,可以依法设立外商投资商业企业,从事商业流通领域的经营活动。 此外,该《办法》扩大了开放区域,放宽外方投资者股比约束,
Recently, the Ministry of Commerce promulgated the Measures for the Administration of Foreign Investment in Commercial Fields (hereinafter referred to as the Measures) to further liberalize the management of foreign-invested commercial enterprises. The “Measures” are a comprehensive revision of the “Pilot Measures on Foreign-funded Commercial Enterprises” in 1999 and will come into force on June 1, 2004. According to the “Measures”, the work of utilizing foreign capital for commercial purposes has been switched from a pilot project to a normal one. It is clarified that Chinese and foreign investors may set up foreign-funded commercial enterprises in accordance with the law in line with the “Measures” and engage in business activities in the field of commercial circulation. In addition, the “Measures” have expanded the open area and relaxed the restrictions on the foreign stockholders’ equity ratio.
