趋势之一:调整治理结构 董事会是现代企业的决策核心,高质量的董事会是企业快速健康发展的保证。目前我国企业的董事会有四大毛病:第一是公众化程度不够,就是说独立董事的比重太小,甚至没有:第二是专业化水平很低,我们的董事会荣誉职务太多,因而决策能力不高;第三是国际化水平不够,即董事会组成人员中有国际背景的人士几乎没有;第四是制度化建设不够。
One of the trends: Adjusting the governance structure The board of directors is the core of decision-making in modern enterprises. The high-quality board of directors ensures the rapid and healthy development of enterprises. At present, there are four problems in the board of directors of enterprises in our country. The first one is that the degree of publicization is not enough, that is, the proportion of independent directors is too small or even not. The second is the low level of specialization and too many honorary titles in our board of directors. Not high; third is the level of internationalization is not enough, that is, there are almost no international background in the composition of the board of directors; the fourth is the lack of institutionalization.
