在一定意义上讲,公司合同专用章就是公司的代理人,其代理权限是成立与公司业务经营活动有关的意思表示行为,其签订劳动合同则是一种无权代理行为.简单地将公司合同专用章所签劳动合同认定为无效或者有效是不妥当的,因而基于民法的理念和制度,公司合同专用章所签劳动合同应是效力待定合同.除非用人单位有过错或者追认,这种效力待定合同应被确认为无效,由加盖公司合同专用章的人向劳动者承担责任.劳动合同与劳动关系没有必然的联系.
