企业破产时,存在尚有未履行完毕合同的可能性。为保护破产债权及债权人利益,我国《企业破产法》第18条将待履行合同的履约选择权概括赋予给破产管理人,如此无疑忽视了不同类型合同的特殊性,甚至会产生一定的法律冲突。如《合同法》第410条对委托合同当事双方的任意解除权进行了规定,对于破产中待履行合同选择权的处理规则存在争议。笔者将首先对待履行委托合同进行界定,通过分析现行法律规定冲突,探索破产中待履行合同的处理模式,以期对破产中待履行合同处理规则的完善提供可行性建议。
When a company goes bankrupt, there is still the possibility of failing to complete the contract. In order to protect the interests of bankrupt claims and creditors, Article 18 of the Bankruptcy Law of the People’s Republic of China gives a summary of the performance options of the contract to be executed to the insolvency administrator. This undoubtedly ignores the particularities of different types of contracts and may even lead to certain legal conflicts . For example, Article 410 of the Contract Law provides for the arbitrary right of termination of parties to a contractual contract, and there is a dispute over the rules for the handling of contractual options in bankruptcy. The author will first define the contract of execution of the contract, analyze the conflict of the current law and explore the handling mode of the contract to be executed in bankruptcy, in order to provide feasible suggestion for the improvement of the contract handling rules in bankruptcy.
