随着国有、集体企业产权制度改革的深化和《公司法》的贯彻实施,多数有限责任公司和股份有限公司依法建立了职工董事、职工监事制度。职工董事、职工监事制度的建立,拓宽了职工参与企业管理和监督的渠道,对于建立完善企业法人治理结构,促进企业民主决策,对于维护职工民主权利和劳动经济权益方面均发挥了积极的作用。但由于诸多因素的影响,该项民主管理制度还显得比较脆弱,各方面尚需进一步完善,一些现实问题亟待加以解决。
With the deepening reform of the state-owned and collective-owned property rights system and the implementation of the Company Law, most limited liability companies and joint-stock companies have established the system of employee directors and supervisors according to law. The establishment of the system of employee directors and supervisors has broadened the channels for employees to participate in corporate management and supervision, and played an active role in establishing and improving the corporate governance structure and promoting the democratic decision-making of enterprises, and in safeguarding the democratic and labor rights and interests of workers. However, due to many factors, the democratic management system is still relatively fragile, all aspects need to be further perfected, and some practical problems need to be solved urgently.
