在外资并购中,目标企业一般以“市场换取技术”来谋求企业的进一步发展,但往往事与愿违,我国许多优秀的民族品牌在外资并购浪潮中消失。本文拟以小肥羊集团有限公司(以下简称小肥羊)被百胜餐饮集团(以下简称百胜)私有化案例为背景,分析小肥羊大股东一次次减持行为的动机和后果,并从企业层面和外部监管层面提出相应的对策,以便为我国民营企业和民族品牌的发展和壮大提供参考。
