拉美地区投资、贸易的法律环境尚不乐观,法律风险客观存在。从全球视野看,拉美整体法治状况处于中等水平,与西欧、北美相差甚远;从地区视角看,拉美各国的法治发展水平参差不齐。在机构层面,投资、贸易相关立法日益完善,但缺乏稳定性;执法监管机构比较健全,透明度加强,但有法不依情况普遍存在,执法效率不高;司法系统相对独立,但存在司法腐败、行政干预和久拖不决等问题。为防范在拉美投资、贸易的法律风险,中资企业在“走出去”前应认真评估当地的法律环境,组建国际化的法律专家团队,严格遵守当地法律,优先选择国际仲裁等手段解决法律纠纷。
The legal environment for investment and trade in Latin America is not yet optimistic and the legal risk objectively exists. From a global perspective, the overall rule of law in Latin America is at a moderate level, far behind those in Western Europe and North America. From a regional perspective, the levels of rule of law in Latin American countries are uneven. At the institutional level, investment and trade-related legislation is increasingly perfected, but its stability is not perfect. Enforcement and supervision institutions are relatively sound and transparency is enhanced, but law enforcement is ubiquitous and law enforcement is inefficient. Judicial systems are relatively independent, but there is corruption, Interventions and long delays. In order to prevent the legal risks of investment and trade in Latin America, Chinese-funded enterprises should carefully assess the local legal environment and set up an international team of legal experts before they “go global.” They should strictly abide by local laws and give priority to international arbitration and other means Legal disputes.
