次贷政策带来了美国经济短期的繁荣景象,然而由公司治理不规范所导致的治理风险积累最终引发了次贷危机。次贷危机中美国公司治理的不规范主要体现在:金融机构治理标准放松、公司治理中存在制度性缺陷、政府对金融机构治理的监管缺位、信用评级机构丧失其外部治理者职能。次贷危机对我国公司治理的启示是:企业应严格按制度行事,不能随意放松公司治理标准;应完善公司治理制度,防止内部人控制;应加强政府监管,尤其是对金融机构的监管。
The subprime mortgage policy has brought the short-term prosperity of the U.S. economy. However, the accumulation of governance risk caused by the non-standard corporate governance eventually triggered the subprime mortgage crisis. The non-standardization of corporate governance in the subprime mortgage crisis is mainly reflected in the relaxation of governance standards in financial institutions, institutional defects in corporate governance, the absence of government regulation of financial institutions and the loss of the functions of external credit rating agencies. The subprime crisis enlightenment to our country’s corporate governance is that enterprises should strictly follow the system and can not relax the standard of corporate governance. The corporate governance system should be improved to prevent the insiders from controlling. The government supervision should be strengthened, especially the regulation of financial institutions.
