各国公司立法对法人是否可以担任公司董事有不同的规定。我国现行公司法并未规定法人董事制度。法人董事制度对于维护法人股东合法权利、完善董事责任制度具有重要意义。同时该制度也存在一些弊端。我国公司立法应吸取我国台湾地区法人董事制度的立法经验,建立适合我国公司实践的法人董事制度。
The legislation of each country has different requirements on whether a legal person can serve as a director of a company. The current company law in our country does not stipulate the legal director system. The system of legal person director is of great significance to the legal rights of legal person shareholders and the improvement of the responsibility system of directors. At the same time, the system also has some drawbacks. The legislation of our country should draw the legislative experience of the legal person director system in Taiwan of our country and establish the legal person director system that suits the practice of our country.
