在激烈的市场竞争中,商业秘密对商业银行的重要性日渐突出,成为商业银行的重要资产之一。保护好自己的商业秘密不外泄,尤其是不被竞争对手掌握,关系到商业银行本身的效益好坏甚至生死存亡。对于商业银行而言,利用好《劳动合同法》关于竞业限制的相关规定,与掌握商业秘密的员工妥善约定“竞业限制”条款则变得尤为关键。本文结合我国现行相关法律规定,对商业银行采用竞业限制条款进行分析,并提出相应的风险防范措施。
In the fierce market competition, commercial secrets have become more and more important to commercial banks and become one of the important assets of commercial banks. Protecting one’s own business secrets is not to be leaked, especially if it is not mastered by a competitor and has a bearing on the effectiveness of the commercial bank itself or even its survival. For commercial banks, making good use of the relevant provisions of the “Labor Contract Law” on non-competition restrictions and properly agreeing with employees possessing trade secrets, the terms of “non-competition restrictions” become particularly crucial. Based on the current relevant laws and regulations of our country, this article analyzes the commercial banks’ non-competition restrictions and puts forward the corresponding risk prevention measures.
