随着世界经济一体化的发展,我国企业面临的国际竞争环境日益激烈。国有企业特别是在国民经济中占有重要地位、起主导作用的大型、特大型国有企业更是面临着严峻的机遇与挑战。在国家政策的指引下,一些大型的国有企业,进行了改制重组。改制后,上市公司治理结构方面不仅结构不合理,内部人控制问题严重,且缺乏有效的外部治理机制;由此引发了诸多问题,本文试图对解决国有企业分立改制以后上市企业治理结构方面存在问题的对策进行探讨,以期有所借鉴。
