为适应经济发展和变革的需要,我国的公司法组织形态经历了一系列的变化。这个过程既反映我国在建立市场经济过程中对公司这一商事组织需求的变化,也反映了公司制度为适应经济体制变革而进行的自我提升。本文根据公司契约理论,重新审视我国的公司法律形态制度,认为可以在重构原有公司法定分类的同时,引入LLC等新的公司组织形态,构建丰富多样的公司法律形态体系。 In order to meet the needs of economic development and change, the shape of our corporate law organization has undergone a series of changes. This process not only reflects the changes in the demand of the commercial organization in the process of establishing a market economy in our country, but also reflects the self-improvement of the company system in order to adapt to the economic restructuring. Based on the firm contract theory, this paper reexamined the corporate legal system of our country, and considered that while reorganizing the legal classification of the original company, we can introduce new organizational forms such as LLC and construct a rich and varied corporate legal system.
