国有企业推动治理体系和治理能力的现代化建设是提高企业效率、巩固国有经济的重要方法。本文围绕权力制衡、契约精神和企业效率三个核心价值,从治理结构、治理主体、治理目的、治理手段和治理制度五个方面对国有企业的现代化治理体系的架构提出构想。在治理结构上要建立现代法人治理结构;在治理主体上,要引进中小企业和职工的参与;在治理制度上,要完善国资监督体系和国资管理体系;在治理手段上,要实现国际化、透明化、民主化;在治理目的上,要实现市场化、国际化、法治化和中国化。 The modernization of state-owned enterprises in promoting the governance system and governance capacity is an important way to enhance the efficiency of enterprises and consolidate the state-owned economy. This paper focuses on the three core values ​​of checks and balances, contractualism and enterprise efficiency, and proposes the conception of the structure of the modern governance system of state-owned enterprises from five aspects: governance structure, governance subject, governance purpose, governance means and governance system. In the governance structure to establish a modern corporate governance structure; in the main governance, to introduce the participation of SMEs and workers; in the governance system, we must improve the state-owned assets supervision system and state-owned assets management system; in the means of governance, to achieve internationalization, Transparency and democratization; and for the purposes of governance, marketization, internationalization, rule of law and localization should be realized.
