所谓公司治理结构是指在股东大会、董事会、监事会、经理层之间建立责、权、利分配和相互制衡的机制。建立公司治理结构的目的是以激励和监督为手段,为实现公司治理提供制度保障。目前,我国大多数企业设立了股东大会、董事会、监事会等,从组织形式上看,基本符合《公司法》要求,但是,由于历史及现实原因,公司治理结构中尚存在一些问题,需要加以完善。
The so-called corporate governance structure refers to the mechanism for establishing responsibility, power, profit distribution, and mutual checks and balances among shareholders’ meetings, board of directors, board of supervisors, and managers. The purpose of establishing a corporate governance structure is to provide incentives and supervision as a means to provide institutional guarantees for corporate governance.
