从债券募集说明书为切入点,利用2008-2013年交易所发行的债券数据,分析中介声誉、债券契约与债券信用利差三者之间的关系.研究结果表明,债券契约中含有提前偿还特殊条款债券的信用利差较高,而含有回售特殊条款或有担保债券的信用利差较低;高声誉审计师与承销商的声誉验证功能也能使企业债券信用利差降低.另外,高声誉审计师与承销商对于债券发行期限与规模也有影响.具体地,企业雇佣高声誉的审计师或承销商,债券发行规模较大,但发行期限较短;同时,通过内生转化模型发现高声誉审计师与承销商对于发行规模与期限之间的作用存在一定的替代效应.
