企业民主自二战以来成为公司制度的主要课题,以员工参与为特色的公司治理模式便是公司治理结构的现代化重大发展。传统公司本质理论无法合理的解释公司制度所正在经历的变迁,以落实公司社会责任为特色的员工参与公司治理现象很好的诠释了公司治理的结构及其理念需要不断变化,公司治理的这一重大变化深刻反映了社会经济法律思想的历史巨变。
Enterprise democracy has become the main subject of the company system since World War II. The corporate governance model featuring employee participation is the major development of corporate governance structure. The theory of the essence of the traditional company cannot explain the changes that the company system is undergoing. The phenomenon of employees participating in the corporate governance with the characteristics of implementing corporate social responsibility is a very good interpretation of the continuous change in the structure and philosophy of corporate governance and the need for corporate governance. The major changes have profoundly reflected the historical changes in the socio-economic legal ideas.
